1.Introduction
BambooHR 市场（以下称“市场”）是一个在线目录，第三方开发者与公司（“开发者”）可以在其中列出扩展、应用与插件（“市场应用”），这些应用可扩展或连接至 BambooHR 平台。以下的 BambooHR 市场条款（“市场条款”）规制市场应用的列示与分发。
通过提交市场应用供列示，或在市场中列示市场应用，开发者同意受这些市场条款、BambooHR 的 API 使用条款，以及 BambooHR 的数据处理协议约束（在开发者处理个人数据的范围内）。这些市场条款为对开发者与 BambooHR 之间的任何单独书面协议之补充，而非替代。
2.Marketplace Listing Requirements
若要列示市场应用，开发者必须将应用提交给 BambooHR 进行审查与批准。所有提交的应用必须：a) 按列示描述的功能运作；b) 遵守 BambooHR 的 API 使用条款与技术集成指南；c) 包含准确完整的文档；d) 包含公开可访问的隐私政策；e) 通过 BambooHR 的安全与质量评审。
BambooHR 保留自行决定批准、拒绝或移除任何市场应用的权利，包括被 BambooHR 认定与 BambooHR 的核心功能直接竞争的应用、包含恶意软件或安全漏洞、违反相关法律、或提供糟糕用户体验的应用。
3.开发者义务
开发者对以下事项负全部责任：a) 其市场应用的开发、运行与维护；b) 确保应用按描述运作且不含恶意软件或安全漏洞；c) 向应用用户提供客户支持；d) 以与当前版本的 BambooHR API 兼容的方式维护应用；e) 向 BambooHR 通知影响应用或应用访问数据的任何安全事件。
开发者应及时解决由 BambooHR 指出或用户报告的质量或安全问题。如果开发者未能在 BambooHR 指定的时间内修复关键问题，BambooHR 可能暂时暂停或从市场中移除应用。
4.数据处理与安全性
Developer must handle all data accessed through the BambooHR API, including Personal Data and Customer Data, in accordance with applicable data protection laws and the BambooHR Data Processing Agreement. Developer must implement and maintain security measures appropriate to the sensitivity of the data it processes, including at minimum encryption in transit and at rest.
开发者仅可将通过 BambooHR API 访问的数据用于市场列示所描述的功能之实现。开发者不得出于营销、广告或与应用所述功能无关的目的出售或使用 BambooHR 客户数据。
5.收入与费用
BambooHR 可能向开发者提供多种商业安排，包括分成协议、固定列示费或其他结构，详见单独的书面协议。在没有单独商业协议的情况下，在市场中列示一个免费的应用对开发者不收费，前提条件是 BambooHR 有权移除该应用。
For paid Apps, BambooHR may charge a marketplace fee equal to a percentage of App revenue as set forth in the applicable commercial agreement. Developer is responsible for all applicable taxes on revenue earned through the Marketplace.
6.知识产权
Developer retains all intellectual property rights in its Marketplace App. By submitting an App to the Marketplace, Developer grants BambooHR a non-exclusive, royalty-free licence to display, reproduce, and promote the App listing, including any screenshots, descriptions, and logos, for the purpose of operating and promoting the Marketplace.
BambooHR 保留对 BambooHR 平台与 API 的所有知识产权。开发者承认对 API 的访问不赋予对 BambooHR 知识产权的任何所有权。
7.期限与终止
这些 Marketplace Terms 在终止前持续有效。任一方可在书面通知后三十（30）天出于便利目的终止，该终止将导致开发者的应用从 Marketplace 中移除。BambooHR 可能在开发者重大违反条款、API 服务条款或适用法律时立即终止这些 Marketplace Terms。
Upon termination, Developer must cease using the BambooHR API and cease representing itself as a BambooHR Marketplace partner. Termination does not affect any rights or obligations accrued prior to the termination date.
