1.Introduction
The BambooHR Marketplace ("Marketplace") is an online catalogue through which third-party developers and companies ("Developers") can list integrations, applications, and add-ons ("Marketplace Apps") that extend or connect with the BambooHR platform. These BambooHR Marketplace Terms ("Marketplace Terms") govern the listing and distribution of Marketplace Apps.
By submitting a Marketplace App for listing, or by listing a Marketplace App in the Marketplace, Developer agrees to be bound by these Marketplace Terms, BambooHR's API Terms of Service, and BambooHR's Data Processing Agreement (to the extent Developer processes Personal Data). These Marketplace Terms supplement and do not replace any separate written agreement between Developer and BambooHR.
2.Marketplace Listing Requirements
To list a Marketplace App, Developer must submit the App to BambooHR for review and approval. All submitted Apps must: (a) function as described in the listing description; (b) comply with BambooHR's API Terms of Service and technical integration guidelines; (c) include accurate and complete documentation; (d) include a publicly accessible privacy policy; and (e) pass BambooHR's security and quality review.
BambooHR reserves the right to approve, reject, or remove any Marketplace App in its sole discretion, including Apps that BambooHR determines compete directly with BambooHR's core features, contain malware or security vulnerabilities, violate applicable law, or provide a poor user experience.
3.Developer Obligations
Developer is solely responsible for: (a) the development, operation, and maintenance of its Marketplace App; (b) ensuring the App functions as described and does not contain malware or security vulnerabilities; (c) providing customer support to users of the App; (d) maintaining the App in a manner that is compatible with current versions of the BambooHR API; and (e) notifying BambooHR of any security incidents affecting the App or data accessed by the App.
Developer shall promptly address any quality or security issues identified by BambooHR or reported by users. If Developer fails to remediate critical issues within BambooHR's specified timeframe, BambooHR may temporarily suspend or remove the App from the Marketplace.
4.Data Handling and Security
Developer must handle all data accessed through the BambooHR API, including Personal Data and Customer Data, in accordance with applicable data protection laws and the BambooHR Data Processing Agreement. Developer must implement and maintain security measures appropriate to the sensitivity of the data it processes, including at minimum encryption in transit and at rest.
Developer may only use data accessed through the BambooHR API for the purpose of providing the functionality described in the Marketplace listing. Developer may not sell or use BambooHR customer data for marketing, advertising, or any purpose unrelated to the App's stated functionality.
5.Revenue and Fees
BambooHR may offer various commercial arrangements to Developers, including revenue-sharing agreements, flat listing fees, or other structures, as set forth in a separate written agreement. In the absence of a separate commercial agreement, listing a free App in the Marketplace is at no charge to Developer, subject to BambooHR's right to remove the App.
For paid Apps, BambooHR may charge a marketplace fee equal to a percentage of App revenue as set forth in the applicable commercial agreement. Developer is responsible for all applicable taxes on revenue earned through the Marketplace.
6.Intellectual Property
Developer retains all intellectual property rights in its Marketplace App. By submitting an App to the Marketplace, Developer grants BambooHR a non-exclusive, royalty-free licence to display, reproduce, and promote the App listing, including any screenshots, descriptions, and logos, for the purpose of operating and promoting the Marketplace.
BambooHR retains all intellectual property rights in the BambooHR platform and API. Developer acknowledges that access to the API does not confer any ownership rights in BambooHR's intellectual property.
7.Term and Termination
These Marketplace Terms remain in effect until terminated. Either party may terminate for convenience upon thirty (30) days' written notice, which will result in the removal of Developer's App from the Marketplace. BambooHR may terminate these Marketplace Terms immediately if Developer materially violates the Terms, the API Terms of Service, or applicable law.
Upon termination, Developer must cease using the BambooHR API and cease representing itself as a BambooHR Marketplace partner. Termination does not affect any rights or obligations accrued prior to the termination date.
